Terms of Service

Welcome to elly. These Terms of Service govern your use of the elly application, website, and related services, collectively called the “Service.”

In these Terms, “elly,” “we,” “us,” and “our” refer to the operator of the Service. “You” refers to the person using it.

By using elly, you agree to these Terms. If you do not agree, do not use the Service.

1. What elly does

elly helps parents, guardians, and trusted caregivers coordinate everyday childcare through shared family spaces, care information, messages, plans, tasks, calendars, and reminders.

Some features include AI assistance, such as transcribing voice recordings and creating suggested tasks or plans from information you provide.

Available features may vary by platform, subscription, and release.

2. Eligibility and authority

You must be legally able to enter into these Terms under the laws that apply to you.

elly is intended for parents, guardians, and caregivers. Child profiles are records managed by authorized users, not accounts for children to use independently.

You may only add information about a child or another person if you have the necessary authority and permissions. You must respect applicable custody arrangements, privacy rights, and restrictions on sharing information.

3. Your account

Provide accurate account information and keep your sign-in credentials secure.

You are responsible for activity you authorize through your account. Do not share access in a way that allows someone to bypass family permissions or other access controls.

Contact team@ellycare.app promptly if you suspect unauthorized access.

4. Family spaces and shared access

Family spaces allow information to be shared among authorized members. Access depends on membership, assigned permissions, and participation in individual conversations.

When inviting someone, check that they are the intended recipient and should have access to the information shared with them. Review membership and permissions when care arrangements change.

People with access may save, copy, or screenshot information. Removing their access cannot remove copies they previously obtained.

elly does not verify caregiver qualifications, conduct background checks, or determine whether someone is suitable to care for a child.

5. Your responsibility for care

elly supports coordination. It does not provide childcare, medical services, emergency monitoring, or professional advice.

You remain responsible for checking instructions, allergies, medication details, schedules, assignments, and other care information before relying on them.

Confirm urgent or critical information directly with the responsible caregiver. Do not assume that a message, reminder, or notification has been received or understood.

For medical advice, consult an appropriate healthcare professional. In an emergency, contact local emergency services.

6. AI-assisted features

elly uses artificial intelligence to support features such as audio transcription and turning messages or instructions into suggested tasks and plans.

AI-generated content may contain errors, omit details, or misunderstand names, dates, timing, intent, or context. Review and correct generated content before saving, sharing, or acting on it.

Suggested tasks and plans require review before confirmation or publication. You remain responsible for any instructions you approve and any decisions made using generated content.

AI features do not diagnose conditions, recommend treatment, determine medication doses, assess a child’s safety, or replace adult supervision or professional judgment.

Relevant content and supporting context may be sent to third-party AI providers, as described in our Privacy Policy. Only submit information you are authorized to share.

7. Your content

You retain any ownership rights you have in the messages, recordings, photos, instructions, and other content you submit.

You grant elly a nonexclusive permission to host, store, reproduce, process, and display that content as necessary to operate the Service and provide the features you use. This includes sharing content with authorized recipients and processing it through service providers where necessary.

This permission does not transfer ownership of your content to elly.

You are responsible for having the rights and permissions needed to submit your content.

9. Subscriptions and billing

elly offers monthly and yearly subscriptions. The price, currency, billing period, and included features are displayed before purchase.

Payment is charged through the payment provider used for your purchase. Subscriptions renew automatically unless canceled according to the terms shown at checkout and the applicable provider’s rules.

You can manage or cancel your subscription through the service where you purchased it, such as your Apple App Store or Google Play account. Cancellation stops future renewals, and paid access generally continues until the end of the current billing period.

Deleting the app or your elly account does not itself cancel an app-store subscription.

Refunds are subject to applicable law and the payment provider’s policies. Any trial or promotional offer will have its conditions displayed when offered.

We will communicate subscription price changes and obtain consent where required by applicable law or the payment provider.

10. Third-party services

elly may connect with third-party services for sign-in, calendars, AI processing, notifications, and other functionality.

Those services may have their own terms and privacy policies. Their availability and behavior are outside our complete control.

Device settings, permissions, connectivity, or third-party outages may affect synchronization, message delivery, reminders, and other features.

11. Our intellectual property

The elly name, branding, software, and original Service content are owned by their respective rights holders and protected by applicable law.

You may use the Service for its intended purposes under these Terms. These Terms do not transfer ownership of our software or branding to you.

12. Ending access and deleting your account

You may stop using elly at any time.

Eligible family owners can request account deletion through Settings. The current deletion process removes every family they own and associated information, and other members lose access to those families.

You may need to leave other active families before completing account deletion. If self-service deletion is unavailable, contact team@ellycare.app.

We may restrict or suspend access where reasonably necessary to address violations of these Terms, security risks, harm to others, or legal requirements. Where appropriate and permitted, we will explain the action and provide a way to contact us.

Information retention and deletion are described in our Privacy Policy.

13. Availability and limitations

We work to maintain a useful and reliable Service, but do not guarantee uninterrupted availability, error-free operation, or the accuracy of user-provided or AI-generated information.

To the extent permitted by law, the Service is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or noninfringement.

To the extent permitted by law, elly is not responsible for indirect or consequential losses arising from use of the Service.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, or removes mandatory consumer rights.

14. Changes to the Service or these Terms

We may change features or update these Terms as the Service develops.

Updated Terms will be posted with a revised effective date. We will provide additional notice of material changes and obtain agreement where required by law.

If you do not agree to an update, you may stop using the Service and cancel your subscription.

Nothing in these Terms limits your right to bring a claim or use protections available under applicable consumer law.
